ARTICLE I

SECTION I - NAME AND ANNUAL SESSION

A.    The name of this organization shall be the Metropolitan Spiritual Churches of Christ Inc. (International Congress).

B.    The Congress of the Metropolitan Spiritual Churches of Christ, Inc. shall meet on Monday after the third (3rd) Sunday in July in said places designated. If there are extenuating circumstances, which make this week or place impossible, The Archbishop (Senior Presiding Bishop) may select another site or time and after discussion with the Coadjutor (President of the College of Bishops) and, to announce the conclusion to the membership with written communication. The separate annual meeting(s) of the College of Bishops and the Board of Directors shall take place prior to the time set for the first session of the Convention.

ARTICLE II

SECTION I - MISSION STATEMENT, PURPOSE AND BELIEF

A.    Metropolitan Spiritual Churches of Christ, Inc. was founded upon the Four Square Spiritual Ministry of Preaching-Teaching-Healing-Prophesying. Its purpose is to elevate to the Bishopric bishops-elect and to train, license and ordain ministers, license missionaries, teachers, healers and prophets; to aid and assist the churches of the congress spiritually, administratively and financially; conduct lectures and seminars on subjects of spiritual and religious interest; assist existing churches throughout the Congress and its affiliates; in preaching, teaching, healing and prophesying and to advance spiritual truth and theology; to train ministers, healers, prophets, lay teachers, missionaries, choirs and musicians in spiritual truth, morality and righteous living according to the Holy Scriptures.

B.    Collectively, we must be of one mind, one body and posses the one Spirit. It is true that we are all independent churches and operate in different cities, states and countries. Being aware that differences exist among us, we must continuously strive to possess the same or many like characteristics as one belonging to the same body. Our beliefs, order of service, music and spiritual teachings should be alike as to thoughts, teachings and instructions.

  
1.   Apostles Creed
  We believe in the Apostles Creed as recorded in the historical documents of the Christian Faith, we endorse the use of the creed in worship services. In light of changes and variations in the creed, we endorse the recitation of the creed in worship services, in any of the traditionally accepted forms at the discretion of each local church.

ARTICLE III
OFFICERS
SECTION I - OFFICERS:    The officers of the Corporation shall be the Archbishop (Senior Presiding Bishop), the Coadjutor (President of the College of Bishops) and the College of Bishops, Chairperson of the Board of Directors, Vice Chairperson and, one or more Vice Chairperson(s) (the number to be determined by the Board of Directors), a Treasurer, a Secretary and such Assistant Secretaries or other officers as may be appointed by the Board of Directors. Officers whose authority and duties are not prescribed in these By-Laws shall have the authority and perform the duties prescribed, from time to time, by the Board of Directors. The same person, except the Chairperson, may hold any two or more offices.

Officers shall be appointed or elected (whichever is applicable, in accordance with these By-Laws) every four (4) years to serve for a period of no more than two (2) terms consecutively. The term of office shall begin from the date of election or appointment. The Archbishop (Senior Presiding Bishop), the Coadjutor (President of the College of Bishops) and the Chairperson of the Board of Directors shall have the authority to request an officer's resignation or to retain said officer at the end of each term (or every four (4) years).

SECTION II - REMOVAL:
Any officer(s) elected or appointed by the Board of Directors may be removed by a majority of the Board of Directors whenever in the judgment of the Board of Directors; the best interest of the corporation would be served.

SECTION III -
ARCHBISHOP (Senior Presiding Bishop)

A.    Metropolitan Spiritual Churches of Christ, Inc. may have an Archbishop; the Archbishop shall be the Senior Presiding Bishop of the Metropolitan Spiritual Churches of Christ, Inc. the Chief Bishop over the Archdiocese or Districts having other Bishops and Dioceses under his/her care. The Archbishop (Senior Presiding Bishop) must be well versed in the rites and Canon Code of the Metropolitan Spiritual Churches of Christ, Inc. as it is his/her responsibility to instruct other bishops. He/she shall be the principal executive officer of the corporation, subject to the advice of the College of Bishops and/or the Board of Directors.

He/she shall be in charge of the business and spiritual affairs of the corporation, he/she shall see that the resolutions and directives of the College of Bishops and/or the Board of Directors are put into effect except in those instances in which that responsibility is assigned to some other person(s) by the College of Bishops and/or the Board of Directors. In general, he/she shall discharge all duties incidental to the office of Archbishop (Senior Presiding Bishop), and the College of Bishops; the Board of Directors may prescribe such duties. He/she shall preside at all meetings of the members, except in those instances in which the authority to execute is expressly delegated to another officer or agent of the corporation or a different mode of execution is expressly prescribed by the College of Bishops and the Board of Directors or these By-Laws.

He/she may execute for the corporation any contracts, deeds, mortgages, bonds or other instruments which the College of Bishops and the Board of Directors has authorized to be executed, and he/she may accomplish such execution under or without the seal of the corporation and either individually or with the Bishop of Administration according to the requirements of the form of the instrument.

He/she shall preside at all annual meetings, conventions and all appropriate conferences, seminars, workshops etc., pertaining to the Metropolitan Spiritual Churches of Christ, Inc. He/she shall approve candidates to the Bishopric in conjunction with the College of Bishops, presiding over all ceremonies.

The term of office shall be for life unless, for health reasons, the person is unable to perform said duties of this office. In the event this occurs, the College of Bishops shall select a replacement and present said candidate to the Board of Directors, after appropriate examination within three (3) to seven (7) days or until there is an agreement

  1.    The elevation of the Senior Presiding Bishop to Archbishop shall be at the sole discretion of the College of Bishops and shall be considered only after the transition of the previous Archbishop, consideration shall be given within one (1) year. The Coadjutor (President of the College of Bishops) shall present to the Board of Directors and to the Annual Congress of the Metropolitan Spiritual Churches of Christ, Inc., the name of such person.

B.    In the event that the seat of the Archbishop (Senior Presiding Bishop) becomes unoccupied, due to sickness, inability to serve, inability or refusal to act, removal, resignation or death, there shall be a special meeting called by the Coadjutor (President of the College of Bishops) and the College of Bishops immediately after the finalization.

C.    The Archbishop (Senior Presiding Bishop) shall have the power to seat other bishops and persons of his/her choice as honorary board of directors or convention fellowships, as well as fellowship and participate in other conferences.

SECTION IV - COLLEGE OF BISHOPS

A.    The Officers of the College of Bishops shall be as follows but not limited to:
  1.    Coadjutor (President of the College of Bishops);
  2.    Bishop of Administration;
  3.    Bishop of Finance;
  4.    Bishop of Parliamentary Procedures;
  5.    Bishop of Grievance;
  6.    Bishop of Christian Education;
  7.    Bishop of Evangelism and Outreach;
  8.    Bishop of Development;
  9.    Bishop of Auxiliaries;
  10.    Bishop of Public Relations;
  11.    Bishop of Research and Development;
  12.    Bishop of Youth Ministries;

B.    The College of Bishops shall be consecrated Bishops who are in good standing with the Metropolitan Spiritual Churches of Christ, Inc.

C.    A Bishop in the College of Bishops shall be a member of the Metropolitan Spiritual Churches of Christ, Inc. for at least three (3) years and a member and financial supporter of a local church chartered with the Metropolitan Spiritual Churches of Christ, Inc., current in his/her obligation to the National Congress of the Metropolitan Spiritual Churches of Christ Inc., (annual assessments) faithful in attendance to the College of Bishops meetings, available for appointments by the Archbishop as needed to carry out delegated assignments pertaining to the growth and development of the Metropolitan Spiritual Churches of Christ, Inc. He/she should be a minimum of thirty (30) years of age (before the age of thirty (30) the person should be a bishop-elect and be in training and have had experience in church leadership, preaching and serving in the pastorate. The Bishops tenure shall be perpetual as long as his/her conduct and spiritual practices is honorable and does not bring reproach on Christ or His Church. He/she must never use his/her position to enrich himself/herself in any way; He/she must not refuse service based on the persons ability to pay in some way, realmng that his/her pay comes from the Lord that made heaven and earth. In exercising the office of Bishop, ".. .be ready for every good work," (II Timothy 2:21) and ".. .endure all things for the elect's sake," (II Timothy 2:10). Bishops should arrange their lives in such a way as to exemplify this high office.

D.  Duties of the College of Bishops:
 1.    Work in concert with the Archbishop (Senior Presiding Bishop) and make all Spiritual dogma concerning Metropolitan Spiritual Churches of Christ, Inc.
 2.   Is accountable to the Archbishop (Senior Presiding Bishop).

SECTION V -
WOMEN BISHOPS:

Metropolitan Spiritual Churches of Christ, Inc. recognizes the scriptural importance of women in the Christian ministry (St. Matthew 28:1-7; St. Mark 16:1, St. Luke 24:1; St. John 20:1-18). Therefore, the Metropolitan Spiritual Churches of Christ, Inc. accepts the following scriptures as mandate to ordain women preachers; Joel 2:28 and Galatians 3:28-29. The first woman to be ordained in the history of the Metropolitan Spiritual Churches of Christ, Inc., was the Reverend Mattie B. Thomton, the Assistant Pastor to Reverend Clarence H. Cobbs of Chicago, Illinois. As we have entered into the 21st Century and look to the continued growth of generations following, we interpret the writings of Paul, to be cultural and reflective of the dispensation of his ministry. We feel our interpretation of the writings of Paul should be reviewed to reflect our culture and the dispensation in which we live and serve. Therefore, we endorse the consecration of women to the Bishopric. The Archbishop (Senior Presiding Bishop) shall determine the selection of all candidates with the approval of the College of Bishops (see ARTICLE III; SECTION IV).

SECTION VI -
TREASURER:

The Treasurer shall be the principal accounting and financial officer of the Corporation. He/she shall:
A.   Have charge of adequate books of account for the Corporation and be responsible for their maintenance.

B.   Have charge and custody of all funds and securities of the Corporation, and shall be responsible therefore, and for the receipt and disbursement thereof.

C.   Perform all the duties incident to the office of treasurer and such other duties as from time to time may be assigned to him/her by the Archbishop (Senior Presiding Bishop), or by the Board of Directors.

D.   The Treasurer shall be responsible for four (4) yearly financial reports assuring that the Archbishop (Senior Presiding Bishop) has funds at his/her disposal for Congress and any other time of the year when there is a request made. Refusal to honor such request is cause for immediate removal.

E.   If required by the Board of Directors, the Treasurer shall give a bond for the faithful discharge of his/her duties in such sum and with such surety or sureties, as the Board of Directors shall determine.

SECTION VII - NATIONAL SECRETARY:

The National Secretary of this Corporation shall have the following powers and dudes:
A.   To see that all notices are duly given in accordance with these By-Laws;
B.   To be custodian of this Corporation's records and the seal of the Corporation; To see that the seal of this Corporation is affixed to all documents duly authorized for execution under the seal on behalf of this Corporation;
C.   To keep a general membership roll reflecting all the churches chartered with this Corporation in good standing, (see ARTICLE IV; SECTION II; B.), and to publish and present such membership roll at each annual convention.
D.   To sign with the Archbishop (Senior Presiding Bishop) all legal documents etc., which have been authorized by resolution of the Board of Directors;
E.  To perform all the duties incident to the office of National Secretary and such other duties as may be assigned to him/her by the Archbishop (Senior Presiding Bishop), or by the Board of Directors.
F.   To take and maintain minutes of the annual congress and shall present the above written minutes to the Archbishop (Senior Presiding Bishop), the College of Bishops and the Board of Directors no later than six (6) months before the next annual meeting.
G.   Should such person as the National Secretary be found unwilling or unable to perform any or all of the above duties are cause for swift and speedy removal by the Archbishop (Senior Presiding Bishop), the Coadjutor (President of the College of Bishops) and the Board of Directors.

SECTION VIII -
RECORDING SECRETARY:    The Recording Secretary of this Corporation shall record and prepare written minutes of all procedures at each annual convention and Board of Directors meetings; perform all duties incident to the office of Recording Secretary and perform such other duties as may be assigned to the Recording Secretary by the Archbishop (Senior Presiding Bishop) or the Coadjutor (President of the College of Bishops).

SECTION IX -
ASSISTANT RECORDING SECRETARY:    The Assistant Recording Secretary shall assist with the duties of the Recording Secretary and perform such other duties as may be assigned by the Recording Secretary, the Archbishop (Senior Presiding Bishop), the Coadjutor (President of the College of Bishops) and the Chairperson of the Board of Directors.

SECTION X -
PARLIAMENTARIAN:    The Parliamentarian of this Corporation shall uphold standard parliamentary procedures at each annual convention, and Board of Directors meetings; perform all duties incident to the office of Parliamentarian by the Archbishop (Senior Presiding Bishop) and the Coadjutor (President of the College of Bishops).

SECTION XI -
STATISTICIAN:    The Statistician of this Corporation shall maintain the vital statistics of this corporation, perform all duties incident to the office of Statistician, and perform such other duties as may be assigned to the Statistician by the Archbishop (Senior Presiding Bishop), the Coadjutor (President of the College of Bishops) and the Chairperson of the Board of Directors.

SECTION XII - ABSENCE OR DISABILITY OF OFFICERS:    In the case of the absence or disability of any officer of this Corporation, and of any person hereby assigned to act in his/her place during the absence or disability, the Archbishop (Senior Presiding Bishop) or the Coadjutor (President of the College of Bishops) and the Chairperson of the Board of Directors may designate the powers and dudes of such officer to any other officer, or to any other person whom he/she may select.

ARTICLE IV
BOARD OF DIRECTORS

SECTION I - GENERAL POWERS:    The Board of Directors shall manage the business affairs of this Corporation. The membership shall consist of twenty-one (21) qualified Board of Directors and no more than thirty-three (33).

SECTION II -
> MEMBERSHIP:    Members of the Board of Directors shall consist of active Board of Directors and Honorary Board Members.

A.  Qualifications of Board Members:
  1.    Special expertise in the following areas Le., Accounting, Banking, Law, Education, and Corporate knowledge.
  2.    Pastor a Church, Community activist, or Board member of a corporation, etc.
B.   Church in Good Standing/Board of Directors shall mean:
  1.    Church charter renewal is current;
  2.    Pastors renewal is current;
  3.    At least one delegate from a major department of church attends annually;
  4.    There must be a representation of the Local Church through the Lord's Dollars;
  5.    Current in Board Assessments;
  6.    Actively participates in Local Church and Diocese;
  7.    Recommendations from your Local Church and Pastor;
C.  In case of a vacancy occurring on the Board of Directors, such vacancy shall be filled by an Honorary Board Member, elected by vote of the majority of the remaining Directors.
D.   Absence of any member of the Board of Directors from three (3) consecutive meetings of the Board shall be cause for removal.
E.  The Board of Directors shall designate the place of the annual convention, along with the Convention Coordinator, final decision rests with the Archbishop (Senior Presiding Bishop). Written notice stating the place; date of such congress shall be delivered to each chartered church between six (6) and eight (8) months before the date of such congress.

SECTION III -
CHAIRPERSON OF THE BOARD OF DIRECTORS:    Chairperson of the Board of Directors shall be appointed by the Archbishop (Senior Presiding Bishop) of the Congress. The Chairperson of the Board shall preside at all Board of Directors meetings and can preside at the annual convention at the direction of the Archbishop (Senior Presiding Bishop) or the Coadjutor (President of the College of Bishops).

SECTION IV -
NOTICE:    Notice of any special meeting(s) of the Board of Directors shall be given at least thirty (30) days previously therein by written notice sent by certified mail to each Director at his/her address as shown by the records of the Corporation. If mailed, such notice shall be deemed to be delivered when deposited in the United States Mail so addressed, with the appropriate postage thereon prepaid. Other forms of communication may be used, but not limited to: web announcements, e-mail, and fax transmissions.

The person(s) entitled to the notice either before or after the time of the meeting may waive notice of such special meeting of the Board of Directors in writing. The attendance of a Director at any meeting shall constitute waiver of notice of such meeting except where a Director attends a meeting for the express purpose of objecting to the transaction of any business because the meeting is not lawfully called or convened neither the business to be transacted, nor the purpose of, any regular or special meeting of the Board of Directors need be specified in the notice or waiver of notice of such meeting, unless specifically required by law or these By-Laws.

SECTION V - QUORUM:    A majority of the Board of Directors shall constitute a quorum for the transaction of business at any meeting of the Board, provided that if less than the majority of the Directors are present at said meeting, a majority of the Directors present may adjourn the meeting to another time without further notice.

SECTION VI -
MANNER OF ACTING:    The act of a majority of the Board of Directors present at a meeting at which a quorum is present shall be the decision of the Board of Directors, unless a vote of a greater number is required by statute, these By-Laws, or the Articles of the Incorporation.

ARTICLE V
MEMBERSHIP

SECTION I - LOCAL CHURCH - OBLIGATIONS:    Each pastor, church and organization or those that require credentials such as healers, missionaries, local preachers, etc., must be in good standing with the local church and diocese (see ARTICLE IV;

SECTION II; B).    It is the responsibility of the local church to remind these persons and groups that according to the rules of Metropolitan Spiritual Churches of Christ, Inc., all credentials must be renewed in the Annual Congress.
A.   It is the duty of the Diocesan Prelate and Pastor to report to the Examining Board and the Registration Committee any person holding Metropolitan Spiritual Churches of Christ, Inc., credentials who are not in good standing with the local church. Inasmuch as a person receives credentials because of his/her affiliation with the local church, if he/she is no longer a member, or if he/she is not in the fellowship of the Congress, it should be reported to the above named officials;
B.  When the holder of credentials from the Congress fails to renew those credentials, the Congress should inform that person in writing and copies of that information should be sent to the local church. One who has missed the Congress should be responsible for the years missed;
C.   It is the duty of the pastor and diocesan prelate to report any member with the credentials of this organization who fails to uphold the standards of the Congress. The credentials are the property of the Metropolitan Spiritual Churches of Christ, Inc. and not the local church.
D.  When a person with Metropolitan Spiritual Churches of Christ, Inc., should withdraw from the local church and does not affiliate with another Metropolitan Spiritual Church of Christ, Inc. he/she shall let the Congress know his/her whereabouts and his/her intention concerning his/her relationship with the Congress;

E.   When a person who is holding Metropolitan Spiritual Churches of Christ, Inc., credentials is in a city where there is no other Metropolitan Spiritual Church of Christ, Inc., chartered church, he/she should let the Congress know his/her whereabouts and his/her intention as to his/her relationship with the Congress;
F.  No member (person in leadership) who holds or once held membership with a local church and is no longer a part of that church or any other associated church should have a voice in the Congress.
G.   Any person who is not a member of the Congress will not have the right to perform at, or attend, any closed session of the Congress without the approval of the Archbishop (Senior Presiding Bishop).
H.  It is the duty of the Pastor and officials of the local church to see that every department within the local church is represented in the Congress. Each auxiliary or department of the local church should meet the financial obligations. The membership should be instructed on the Lord's Dollars.

SECTION II - RECEIVING APOSTLES, BISHOPS, PASTORS, ORDAINED MINISTERS, EVANGELISTS, and MISSIONARIES, MINISTERS FROM ANOTHER CHRISTIAN ORGANIZATION: Apostles, Bishops, Pastors, Ordained Ministers, Missionaries, or Ministers from other reformations shall be welcomed into Metropolitan Spiritual Churches of Christ, Inc., after they have met the requirements of the Local Church and the Congress.

Where there is an established Diocese, the Pastor or the Diocesan Prelate shall introduce them to the Diocese for membership. The Pastor assisted by the Diocese shall be responsible for instructing and teaching the requirements of the church and congress. All letters, credentials/licenses, etc., shall be submitted to the Metropolitan Spiritual Churches of Christ, Inc., Examining Board for consideration and examination. If at all possible the Diocese shall investigate the credentials by methods they deem feasible. Individuals may be accepted as full-fledged members of Metropolitan Spiritual Churches of Christ, Inc., after they have met the requirements of die Local Church and the Congress.

During the sitting of the Congress, the person must be present so that the Pastor of the Local Church, along with the Diocesan Prelate, may present him/her to the Examining Board. In the event the Pastor is not present, a letter from the Pastor may vouch for the candidate. However, the Archbishop (Senior Presiding Bishop) shall have the final authority. The person shall meet the Examining Board at its next annual session immediately following their joining a Metropolitan Spiritual Churches of Christ, Inc. Local Church. There should be a letter from the Pastor and/or Diocesan Prelate to accompany the candidate. After appropriate examination, persons who meet the requirements will be granted an exchange of license.

SECTION III -
RECEIVING A CHURCH:    Where there is a Diocese established, the Pastor should seek information and unite with the Diocese. It will be the duty of the Diocese to instruct and to receive the membership of the Pastor and Church. At the time of the Congress, the Diocese with all necessary credentials should introduce the Church to the Congress. Also, a letter of recommendation should be submitted. The Archbishop (Senior Presiding Bishop), the College of Bishops and the Board of Directors will receive the new Pastor and Church appropriately.

ARTICLE VI
COMMITTEES

SECTION I - COMMITTEES OF DIRECTORS:    The Board of Directors, by resolution adopted by a majority of the Directors in office, may designate one or more committees, each of which shall consist of two or more directors, which committees, to the extent provided in said resolution and not restricted by law, shall have and exercise the authority of the Board of Directors in the management of the Corporation; but the designation of such committees and the delegation thereto of authority shall not operate to relieve the Board of Directors, or an individual director, of any responsibility imposed upon it or him/her by law (or by these By-Laws or statutes).

SECTION II - OTHER COMMITTEES:    Other committees not having and exercising the authority of the Board of Directors in the Corporation may be designated by a resolution adopted by a majority of the Directors present at a meeting at which a quorum is present, except as otherwise provided in such resolution, members of each such committee shall be members of the Corporation, and the Archbishop (Senior Presiding Bishop) of the Corporation shall appoint members thereof. He/she may remove any member or persons authorized to appoint such members whenever in their judgment the best interest of the Corporation shall be served by such removal.

SECTION III -
TERM OF OFFICE:    Each member of a committee shall continue as such until the next annual meeting of the members of the Congress is appointed, unless the committee shall be sooner terminated, or unless such member be removed from such committee, or unless such member shall cease to qualify as a member thereof.

SECTION IV -
CHAIRPERSON:    One member of each committee shall be appointed Chairperson.

SECTION V - VACANCIES:    Vacancies in the membership of any committee may be filled by appointments made in the same manner as provided in the case of the original appointments.

ARTICLE VII
BOOKS AND RECORDS

The Corporation shall keep correct and complete books and records of account and shall also keep minutes of the proceedings of its members. Board of Directors, and committees having any of the authority of the Board of Directors, and shall keep at the registered or principal office a record giving the names and addresses of the members entitled to vote. Any member, or his/her agent or attorney may inspect all books and records of the Corporation for any proper purpose at any reasonable time.
